23     COMPOSITION OF THE BOARD

23.1   Board Composition

There shall be at least 4, but no more than 7, Directors comprising:

(a)     the Chairman;

(b)     the Deputy Chairman;

(c)     up to 5 Directors appointed by the Chairman, Deputy Chairman and Chief Executive Officer; and

(d)     the Chief Executive Officer.

23.2   Appointment of Directors

Directors appointed under Rule 23.1 (c) shall be ratified by the Members at the next practicable General Meeting.  Ratification will be deemed to have occurred unless 66% of the Members entitled to vote, reject any Director selected and proposed by the Chairman, Deputy Chairman and Chief Executive Officer.  Any decisions made by the Board comprising the appointed Directors will not be invalidated where an appointed Director is not ratified by the General Meeting under this Rule.

23.3   Qualifications of Directors

The Board will determine necessary qualifications and job descriptions for eligibility as Directors from time to time.  A person who is an officer or director of a Member State is not eligible to be a Director whilst holding that position.

23.4   Portfolios

The Board may determine the interests of the Federation are best served by the allocation of portfolios to Directors.  The Board shall be entitled to vary the titles and portfolios of each of the Directors in accordance with the needs of the Federation from time to time.
