21 EXISTING DIRECTORS AND INITIAL BOARD
21.1 Subject to Rule 21.2, the directors of the Federation in office prior to approval of these Rules under the Act shall, unless their positions are otherwise terminated, continue in those positions until 1 May 1999. After that time, the positions of the Directors shall continue, be filled, vacated and otherwise dealt with in accordance with these Rules.
21.2 The President and Vice President of the Federation in office prior to the approval of these Rules under the Act shall, unless their positions are otherwise terminated, become Chairman and Deputy Chairman respectively of the Federation from 1 May 1999. The Chairman and Deputy Chairman will continue to hold office for 2 years and 1 year respectively from 1 May 1999. At the expiry of those terms the positions of Chairman and Deputy Chairman shall continue, be filled, vacated and otherwise dealt with in accordance with these Rules.
21.3 The Chairman, Deputy Chairman and Chief Executive Officer will:
(a) determine the necessary qualifications for the remainder of the Board positions available from 1 May 1999. A person who is an officer or director of a Member State is not eligible to be a Director whilst holding that position;
(b) call for applications for the remainder of the Board positions available from 1 May 1999;
(c) appoint up to 5 Directors who will take office from 1 May 1999 subject to ratification by the Members at a Special General Meeting called for that purpose. Two of these Directors will hold office for 3 years, two for 2 years and one for 1 year. Terms will be chosen by lot. Ratification will be deemed to have occurred unless 66% of the Members entitled to vote, reject any Director selected and proposed by the Chairman, Deputy Chairman and Chief Executive Officer.
